Introduction

Welcome to milmentor.com, a platform owned and operated by Service to Success ("Company," "we," "our," or "us"). By accessing or using our website and services, you ("User") agree to comply with and be bound by the following terms and conditions ("Terms"). These Terms govern your use of the platform, which connects mentors, mentees, and companies within the military community.

Account Types and Responsibilities

1. Mentor Accounts: Mentors provide background information, including military service history, and connect their LinkedIn profiles and calendars to facilitate scheduling calls to provide mentorship to military-connected mentees. Mentors must verify their email and phone number. They set their availability, and calls with mentees are automatically initiated at the scheduled time.
2. Mentee Accounts: Mentees provide information in addition to what mentor accounts provide relevant to their job search, such as industry of interest, desired job, resume, salary expectations, location, and more. Mentees can apply to jobs, register for events, access resources, and connect with mentors.
3. Company Accounts: Companies seeking military talent gain access to job boards, a candidate database, and event registration. Company accounts provide relevant information about their business and representatives.

By creating an account, users affirm that the information they provide is accurate and agree to keep it up to date. Users are responsible for maintaining the confidentiality of their account credentials and all activity that occurs under their account.

Platform Use Guidelines

1. Prohibited Activities: Users are prohibited from engaging in illegal activities, infringing intellectual property rights, or disrupting the platform's services. This includes but is not limited to hacking, scraping, spamming, distributing harmful software, or engaging in activities that violate any applicable laws or regulations.
2. Termination of Accounts:
   • Service to Success reserves the right to suspend or terminate your account at its sole discretion, with or without cause, and with or without prior notice. This may include situations where a user violates these Terms, engages in prohibited activities, or behaves in a manner that is harmful to the platform or other users. If your account is suspended or terminated:
   • • No Restoration or Data Retrieval: Service to Success is under no obligation to restore your account or provide you with access to any data associated with your account following suspension or termination.
     • No Refunds: Any fees paid for access to premium services or features of the platform or Company are non-refundable, regardless of account termination.
     • Permanent Ban: Users whose accounts are terminated for violations of these Terms may be permanently banned from accessing the platform or creating new accounts.
3. Issue Reporting: Users should report issues, bugs, and offensive content to Service to Success by emailing welcome@servicetosuccess.com within 5 days of their discovery.
4. User-Generated Content: By uploading or submitting content, users grant Service to Success a worldwide, royalty-free, non-exclusive license to use, display, modify, reproduce, distribute, and create derivative works from such content for marketing, promotional, or other purposes. The license is revocable upon the deletion of the content by the user, except where marketing material has already been made and distributed. Users retain ownership of their content but agree that the Company may use it in accordance with this license.

Limitation of Liability

To the fullest extent permitted by law, Service to Success is not liable for:

• Data Breaches: Any unauthorized access, hacking, or breach of the platform's data, including user-provided information such as resumes, contact information, or other personal data to the fullest extent allowed by law.
• Connection Issues: Any inability for users to connect with mentors or mentees, or for mentees to secure employment as a result of using the platform.
• Third-Party Actions: Any actions or omissions of users on the platform, including mentors, mentees, or company representatives who are not employed by Service to Success.
• Offensive Content: Any content posted by users on the platform that may be considered offensive, inaccurate, or that might create legal liability. Users are solely responsible for the content they provide or display on the platform.
• Service Interruptions: We are not responsible for any interruptions, delays, or failure in service due to technical difficulties, system maintenance, or other unforeseeable circumstances.
• External Links: The platform may contain links to third-party websites. We are not responsible for the content, security, or practices of these external sites. Users access them at their own risk.

Intellectual Property

All content, trademarks, logos, and intellectual property on milmentor.com, except for user-generated content, are the property of Service to Success or its licensors. Unauthorized use of any such materials is strictly prohibited.

Indemnification

Users agree to indemnify and hold harmless Service to Success, its directors, officers, employees, and affiliates from any claims, liabilities, damages, or expenses (including attorney's fees) arising from the user's breach of these Terms, misuse of the platform, or violation of any applicable law or regulation.

Dispute Resolution

In the event of any dispute arising out of or related to these Terms or the use of milmentor.com, the dispute shall first be resolved through good-faith negotiations. If negotiations fail, disputes will be submitted to binding arbitration administered by an arbitrator of Service to Success’s choosing. The arbitration process must be kept confidential, and all disputes will be arbitrated in Delaware. The arbitrator's decision shall be final and binding on all parties.

By agreeing to these Terms, you expressly waive your right to participate in any class action lawsuit or class-wide arbitration against Service to Success. You agree that any disputes or claims arising out of or in connection with these Terms, your use of the platform, or any services provided by Service to Success will be resolved on an individual basis through arbitration, as outlined in this section. You further agree that you shall not bring claims against Service to Success as a plaintiff or class member in any purported class or representative proceeding. Consumers may opt-out of this provision within 7 days of joining the platform for the first time, on any account, by emailing welcome@servicetosuccess.com.

Platform Data

We collect, use, and store personal data provided by users, including contact information, resumes, job-related data, and other relevant details. This information may be shared with companies seeking to hire or reach military talent for employment, event opportunities, or other engagements. By using the platform, you consent to this data-sharing practice.

While we take reasonable steps to safeguard user data, users acknowledge that no method of electronic storage is completely secure, and we cannot guarantee the absolute security of personal information.

By using milmentor.com, users consent to allow Service to Success to use data collected from the platform for marketing, analytics, and promotional purposes. This may include insights on platform usage, user demographics, success stories, and testimonials.

Prohibited Use and Competitive Intelligence Clause

You are expressly prohibited from using this website and any of its content, features, or services for any unlawful purpose or in any manner that could harm Service to Success, its users, or its business interests. Specifically, without limitation, you agree that you will not:

1. Gather Competitive Intelligence: Access or use this website for the purpose of gathering competitive intelligence, including but not limited to, researching business practices, product features, user behavior, pricing models, or proprietary technologies to develop, build, or operate any platform, product, or service that competes directly or indirectly with Service to Success.
2. Data Scraping and Automated or Manual Collection: Use any robot, spider, scraper, or other automated means, or engage in manual data collection of any kind to access the website for any purpose, including the extraction, collection, or indexing of data for competitive purposes, without the express written permission of Service to Success.
3. Non-Solicitation: Solicit, attempt to solicit, or otherwise engage with users of this website on the website or using data obtained from the website to promote, advertise, or market any other organization, website, platform, individual, or other entity outside the express scope of this website's purpose and your account type. This restriction applies unless you have obtained prior written consent specific to this platform from Service to Success. Service to Success reserves the right to monitor, review, and investigate user communications within the platform to ensure compliance with our non-solicitation policies and other terms of service. This monitoring may include, but is not limited to, messages exchanged between users (mentors, mentees, and company representatives), interactions in job boards, event communications, and other platform activities. Users are prohibited from using the platform to solicit business, recruit, or engage in any activity outside the intended scope of their account type, as defined in this clause. If any solicitation or unauthorized activity is detected, Service to Success may take immediate corrective action, including the suspension or termination of the offending account. Users explicitly consent to this monitoring by creating an account.
4. Confidential Information: Access or use any proprietary or confidential information made available through this website, including but not limited to other users' data, for any purpose outside of the scope of your use as expressly permitted by these Terms of Service.
5. No Reverse Engineering: Copy, reproduce, distribute, republish, download, display, post, or transmit in any form or by any means any part of the website's content or underlying software for the purpose of reverse engineering or creating a competing product or service.
6. Confidentiality of Platform Data: All data and information available on this platform that was shared by other users, including but not limited to user interactions, communications, and any proprietary material, is strictly confidential. You agree that data or information obtained from the platform that you did not create may not be removed, downloaded, or used outside the scope of your authorized use without the prior written consent of Service to Success.

Investigation of Competitive Misuse

If a user who holds or has held an account on this website is found to have launched, built, or been involved in the development of a platform, product, or service that a reasonable person would determine to be in competition with Service to Success, Service to Success shall have the right to conduct an investigation into whether competitive intelligence was gathered, including but not limited to business practices, user data, or platform features, for competitive intelligence purposes. Should the Company establish a reasonable suspicion competitive intelligence was gathered, the Company reserves the right to initiate legal proceedings or request an injunction.

Acknowledgment of Damages

By using this website, you expressly acknowledge and agree that any breach of the prohibited actions outlined above may result in significant monetary damage to Service to Success. You further agree that you will not contest the existence, scope, or severity of reasonable damages incurred as a result of such breaches, should they be discovered, and that Service to Success is entitled to pursue full legal remedies, including but not limited to financial damages and injunctive relief.

Enforceability

The Prohibited Use and Competitive Intelligence Clause, Investigation of Competitive Misuse Clause, and the Acknowledgement of Damages Clause shall be enforceable to the fullest extent allowed by the law in the jurisdiction where the actions took place if within the United States, if outside the United States, they shall be enforceable to the fullest extent allowed by Delaware law.

Changes to the Terms

We reserve the right to update or modify these Terms at any time. Notice of any changes will be sent to users via the email address provided during registration, at least 7 days prior to any updates taking effect. Continued use of the platform after the 7-day period constitutes acceptance of the new Terms.

Governing Law

These Terms and the use of the platform shall be governed by and construed in accordance with the laws of the state of Delaware, without regard to its conflict of law principles.

No Warranties

Your use of the MilMentor platform is entirely at your own risk. Service to Success provides the platform and its services "as is" and "as available" without any warranties or guarantees, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. While we strive to maintain the security and functionality of the platform, we do not guarantee that the platform will be error-free, secure, uninterrupted, or free from unauthorized access. By using the platform, you agree that Service to Success will not be liable for any losses, damages, or other consequences resulting from your use of the platform to the fullest extent allowed by law.

Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions will continue to be in full effect.
